1. Agreement to Terms

By accessing or using TakuSlides ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use our Service.

These Terms constitute a legally binding agreement between you and Takuonline (Pty) Ltd, a company registered in South Africa ("Company", "we", "us", or "our").

2. Eligibility

You must be at least 18 years old to use our Service. By using TakuSlides, you represent and warrant that you are 18 years of age or older and have the legal capacity to enter into this agreement.

3. Description of Service

TakuSlides is an AI-powered presentation creation platform that allows users to:

  • Generate slide presentations using artificial intelligence
  • Edit and customize generated presentations
  • Export presentations to PowerPoint format
  • Create and use custom themes

The Service offers subscription plans with unlimited AI-powered presentation generations for paid tiers, subject to fair use rate limits. A credit system is available as a flexible fallback for free tier users and when rate limits are exceeded.

4. Account Registration

4.1 Account Creation

To use TakuSlides, you must create an account using one of our supported authentication methods (currently Google, with potential support for LinkedIn and Facebook). You agree to:

  • Provide accurate, current, and complete information
  • Maintain and update your information to keep it accurate
  • Maintain the security of your account credentials
  • Accept responsibility for all activities that occur under your account

4.2 Account Security

You are responsible for maintaining the confidentiality of your account. You must notify us immediately at [email protected] of any unauthorized use of your account or any other security breach.

4.3 Account Termination

You may delete your account at any time using the self-service account deletion feature in your account settings. We reserve the right to suspend or terminate accounts that violate these Terms.

5. Subscriptions, Credits, and Payment

5.1 Subscription Plans

TakuSlides offers tiered subscription plans. Paid plans (Essential, Pro, and Ultimate) include unlimited AI-powered presentation generations subject to our Fair Use Policy and rate limits outlined in the Privacy Policy.

5.2 Credit System

TakuSlides also operates a credit-based system as a supplementary payment method. Credits are virtual units used to:

  • Access AI features for Free tier users
  • Continue generating when rate limits are exceeded (paid tiers)
  • Pay for single-slide AI edits and image generation

5.3 Free Credits

New users receive 32 free credits upon account creation as a one-time promotional offer. These credits are subject to the same terms as purchased credits.

5.4 Purchasing Credits and Subscriptions

Subscriptions and credits can be purchased through our website. All payments are processed by Paddle. By making a purchase, you agree to the terms and conditions of our payment processor.

5.5 Credit Usage

  • Credits are consumed when Free tier users generate presentations (10 credits per generation)
  • Credits are consumed when paid users exceed their rate limits
  • Single slide AI updates cost 1 credit
  • AI image generation costs 2 credits per image
  • Credits are non-transferable and have no cash value
  • Credits do not expire unless your account is terminated or deleted
  • Unused credits will be forfeited upon account deletion

5.6 Pricing

We reserve the right to modify our subscription and credit pricing at any time. Price changes will not affect active subscriptions until renewal or credits already purchased.

6. Refund Policy

6.1 14-Day Refund Period

You may request a full refund for any credit purchase within 14 days of the transaction date. To request a refund during this period, contact [email protected] with your transaction details.

6.2 Refund Conditions

Refunds requested within the 14-day period will be processed to your original payment method. Please note:

  • For credit purchases: Credits must not have been substantially used (more than 80% consumed)
  • For subscriptions: Prorated refunds may apply based on usage
  • Refund processing may take 5-10 business days depending on your payment provider
  • Only the most recent purchase is eligible for refund if multiple purchases were made

6.3 After 14 Days

Credit purchases made more than 14 days ago are non-refundable except in the following circumstances, at our sole discretion:

  • Significant service outages that prevent you from using purchased credits for an extended period
  • Technical bugs or errors that prevent normal use of the Service and cannot be resolved
  • Duplicate charges or payment processing errors

6.4 How to Request a Refund

To request a refund, contact [email protected] with:

  • Your account email address
  • Transaction date and amount
  • Reason for the refund request

We will process valid refund requests within 5 business days of receipt.

7. User Content and Intellectual Property

7.1 Your Content

You retain ownership of any content you create, upload, or generate using TakuSlides, including:

  • Presentations you create
  • Custom themes you design
  • Text, images, and other materials you input

7.2 License to Us

By using the Service, you grant us a limited, non-exclusive, worldwide license to:

  • Store and process your content to provide the Service
  • Use aggregated, anonymized data to improve our AI models and Service
  • Display your content back to you through the Service

7.3 User-Generated Themes

If you create custom themes that you choose to share or make public, you grant other users the right to use those themes in their presentations.

7.4 Our Intellectual Property

The Service, including its design, features, software, AI models, and all related intellectual property, is owned by Takuonline (Pty) Ltd and protected by copyright, trademark, and other laws. You may not:

  • Copy, modify, or distribute our software or Service
  • Reverse engineer or attempt to extract source code
  • Remove any copyright or proprietary notices
  • Use our trademarks without permission

7.5 AI-Generated Content

Content generated by our AI is provided to you for use in your presentations. While you may use this content, please note that AI-generated content may not be eligible for copyright protection in all jurisdictions.

8. Acceptable Use Policy

You agree not to use TakuSlides to:

  • Violate any laws or regulations
  • Infringe on intellectual property rights of others
  • Generate harmful, illegal, or offensive content
  • Harass, abuse, or harm others
  • Transmit malware, viruses, or malicious code
  • Attempt to gain unauthorized access to our systems
  • Use automated systems to access the Service without permission
  • Resell or redistribute the Service or credits
  • Impersonate others or misrepresent your affiliation
  • Interfere with the proper functioning of the Service

We reserve the right to investigate and take appropriate action against anyone who violates this policy, including account suspension or termination.

9. Third-Party Services

9.1 Integration with Third Parties

TakuSlides uses various third-party services, including but not limited to:

  • Payment processors for handling transactions
  • Cloudflare for content delivery and security
  • Analytics services for Service improvement
  • VPS hosting providers (Hetzner)
  • Authentication providers (Google, LinkedIn, Facebook)

9.2 Third-Party Terms

Your use of these third-party services is subject to their respective terms and conditions. We are not responsible for the practices or policies of third-party services.

9.3 Export to PowerPoint

When you export presentations to PowerPoint format, you are responsible for complying with Microsoft's terms of service for PowerPoint and related products.

10. Communications

10.1 Email Communications

By creating an account, you consent to receive emails from us, including:

  • Service-related notifications
  • Account updates and security alerts
  • Product updates and feature announcements
  • Marketing communications (you may opt out of these)

10.2 Opting Out

You may opt out of marketing emails by following the unsubscribe link in any marketing email or by contacting us at [email protected]. You cannot opt out of essential service-related emails.

11. Disclaimers and Limitations of Liability

11.1 Service "As Is"

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

11.2 AI-Generated Content

We do not guarantee the accuracy, quality, or suitability of AI-generated content. You are responsible for reviewing and verifying all content before use. AI-generated content may contain errors, inaccuracies, or biases.

11.3 Service Availability

We do not guarantee that the Service will be uninterrupted, secure, or error-free. We may suspend or terminate the Service for maintenance, updates, or other reasons without prior notice.

11.4 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TAKUONLINE (PTY) LTD SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

  • Your use or inability to use the Service
  • Any unauthorized access to or use of our servers and/or any personal information stored therein
  • Any interruption or cessation of transmission to or from the Service
  • Any bugs, viruses, or malicious code transmitted through the Service
  • Any errors or omissions in any content or for any loss or damage incurred as a result of your use of any content posted, emailed, transmitted, or otherwise made available through the Service

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL DAMAGES EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY, OR ONE HUNDRED US DOLLARS (USD $100), WHICHEVER IS GREATER.

12. Indemnification

You agree to indemnify, defend, and hold harmless Takuonline (Pty) Ltd, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or in any way connected with:

  • Your access to or use of the Service
  • Your violation of these Terms
  • Your violation of any third-party rights, including intellectual property rights
  • Any content you submit, post, or transmit through the Service

13. Data and Privacy

Your use of TakuSlides is also governed by our Privacy Policy, which describes how we collect, use, and protect your personal information. By using the Service, you consent to our data practices as described in the Privacy Policy.

We collect and process:

  • Email addresses and names
  • Account and usage information
  • Content you create and generate
  • Technical information (IP addresses, browser types, etc.)

Payment information is collected and processed by our third-party payment processors and is not stored on our servers.

14. Modifications to the Service and Terms

14.1 Service Changes

We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with or without notice. We will not be liable to you or any third party for any modification, suspension, or discontinuation of the Service.

14.2 Terms Changes

We may update these Terms from time to time. When we make material changes, we will notify you by email or through a notice on our website. Your continued use of the Service after changes become effective constitutes acceptance of the modified Terms.

The "Last Updated" date at the top of these Terms indicates when the most recent changes were made.

15. Termination

15.1 Termination by You

You may terminate your account at any time using the account deletion feature. Upon termination:

  • Your access to the Service will be immediately revoked
  • All unused credits will be forfeited
  • Your content may be deleted from our servers

15.2 Termination by Us

We may terminate or suspend your account immediately, without prior notice or liability, if:

  • You breach these Terms
  • We are required to do so by law
  • Providing the Service to you is no longer commercially viable
  • We decide to discontinue the Service

15.3 Effect of Termination

Upon termination, all provisions of these Terms that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

16. Geographic Restrictions

The Service is hosted in and operates from South Africa. We make no representation that the Service is appropriate or available for use in all locations. Access to the Service from territories where its contents are illegal is prohibited.

17. Dispute Resolution and Governing Law

17.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of South Africa, without regard to its conflict of law provisions.

17.2 Jurisdiction

You agree that any legal action or proceeding arising out of or relating to these Terms or your use of the Service shall be instituted exclusively in the courts of South Africa, and you consent to the jurisdiction of such courts.

17.3 Dispute Resolution

18. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that the Terms will otherwise remain in full force and effect.

19. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Takuonline (Pty) Ltd regarding the use of the Service and supersede all prior agreements and understandings.

20. Waiver

No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term, and our failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.

21. Assignment

You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may assign these Terms without restriction.
